Our Services
Our core business is the maintenance of registers of members and processing of share transfers for our client companies in accordance with the requirements of the Companies Acts. We also act as their Receiving Agent in relation to Open Offers and Rights Issues.
In order to save costs for our client companies, some years ago we brought the entire process of printing share certificates in-house. We have, more recently and for the same reason, brought in-house as much of the printing of dividend warrants as CPAS specifications allow.
We have over the years diversified, in order to service the needs of our client companies, into work as Receiving Agent for Takeovers and Mergers – whether effected by contractual acceptance or by scheme of arrangement – and we are price-competitive in providing this service, regardless of whether or not we are already registrar to the offeree company.
Following the provisions in the Companies Act 2006 permitting electronic communications with shareholders, we are able to advise on the best way of achieving possible cost savings. We have invested in print capacity to allow us to print and despatch personalised and bar-coded proxy cards (whose use ensures that the returned proxy card can always be validated against the register of members) together with other communications to shareholders and avoid the need to use outside printers. We have also invested in software which allows machine-reading of completed and returned proxy cards.
Our expanded print capacity allows us to print in-house and despatch a variety of communications to shareholders, including interim statements, hard copy accounts for shareholders who have elected to continue to receive them, circulars to shareholders, notices of meeting and personalised and bar-coded proxy cards. Several of our client companies have dispensed with the use of outside printers and now use us as a one-stop shop for the printing and despatch of communications to shareholders.
